Conditions of sale

 

1. Prices

The prices shown in this price list are in euros and do not include the tax rates established by law. In any case, they do not include installation, commissioning or accessories.

 

2. Methods of payment

The payment conditions for each client are the ones agreed with DISTFORM, S.L.U., being as a general rule the following:

  • Until the classification and risk of a client is granted, all operations will be paid by means of advance payment.
  • Payments of less than 1.500€ will not be split.
  • The products are property of DISTFORM, S.L.U., In the case of non-payment, no order will be dispatched until it is settled, as long as there is no incidence on it.

 

3. Orders

  • Any modification to the initial quotation is subject to a separate quotation and acceptance of the original order.
  • The delivery times indicated in this tariff are indicative and failure to comply with them shall not be grounds for any claim whatsoever.
  • The total or partial cancellation of the order will not be valid if the products have already left Distform’s warehouses or on the same day of dispatch.
  • An order containing a product with a particular manufacturing feature may not be cancelled. Specifically, the following items will not be accepted for return:
    1. Articles with customisation
    2. Articles requiring special manufacture
    3. Articles assembled or with accessories that modify their structure such as holes or elements added by mechanical or adhesive bonding.
    4. Obsolete spare parts with associated procurement order.
    5. Self-service / Drop-in lines
    6. Modules and worktops for compositions
  • Distform reserves the right to modify prices without prior notice and to replace the materials in the catalogue with others of similar quality and characteristics

 

4. Transportation

Delivery terms are EXW Distform, 25123 Torrefarrera/Spain.

Special packaging or shipping options may be only done at customer’s expense. (The mentioned shipping times, marked with the different colours, mean the production times. This is, when the product is ready for pick-up. Does not include transport nor transit times.)

 

5. Delivery acceptance

In case of any special delivery agreement, and if the customer does not notify Distform immediately of any possible problem or defect at the time of delivery reception, the customer shall have 24 hours to notify us directly by sending a copy of the document to Distform.

If the above mentioned 24 hour time frame is not met, the customer waives any right to file a claim for the merchandise.

The transportation company shall not be responsible for claims filed outside of the established 24 hour time period.

 

6. Returns

Returns will not be accepted without prior express written consent from Distform. Our warehouse will automatically reject any unauthorized returns.

Only products with 24-hour shipping periods will be accepted for returns. Specifically, the following items will not be accepted for return:

    1. Articles with customisation
    2. Articles requiring special manufacture
    3. Articles assembled or with accessories that modify their structure such as holes or elements added by mechanical or adhesive bonding.
    4. Obsolete spare parts with associated procurement order.
    5. Self-service / Drop-in lines
    6. Modules and worktops for compositions

Returns may only be accepted if unused, in perfect condition, and in their original packaging. Returns must be made within 30 days of invoicing.

In the event that Distform must reimburse a sum against a previous order’s invoice, the amount will be determined based on the condition of the materials returned.

In all such cases, Distform will discount at least 20% of the refund total as an administrative fee. Shipping and handling will always be billed to the Customer.

 

7. Reservation of title

The goods remain the property of Distform until they have been paid for in full by the Client. In the event of nonpayment by the Client, Distform may collect the goods affected, reserving the right to claim for any damages that may arise from this. In any case, the costs derived from the withdrawal of the products will be invoiced to the Client.

 

8. Warranty

Legal Guarantee of Conformity: In accordance with the provisions of Royal Legislative Decree 1/2007, all products sold by Distform S.L.U. benefit from a legal guarantee of conformity which has a duration of 1 year for new products. Deficiencies caused by negligence, knocks, improper use or manipulation, unsuitable voltage, incorrect installation, or materials subject to wear and tear due to normal use are not included.

Commercial Manufacturer’s Warranty: All products sold by Distform S.L.U. include the official manufacturer’s warranty, which in addition to manufacturing defects also covers possible breakdowns that may occur during the warranty period. In the event that Distform S.L.U. arranges the repair of your product with the corresponding authorised workshop of the brand, the shipping costs to our returns centre will be paid by DISTFORM, S.L.U. (as long as it is not a case of non-conformity of origin).

The warranty shall not apply in the following cases:

  • Deterioration created by adaptations or adjustments (other than normal operating adjustments) or modifications made to a product without written agreement with the manufacturer.
  • All matters relating to periodic maintenance, repair or replacement of parts due to normal wear and tear. The replacement of consumables (batteries, bulbs, fuses, glass, power cables, etc.).
  • Deterioration created by improper use of the product or failure to follow the manufacturer’s instructions regarding the use and maintenance of the product and incorrect installation. This includes discolouration, rust or corrosion of the appliance or any of its components.
  • Damage caused by non-accredited persons or by the users themselves.
  • Damage caused by accident, lightning, flood, fire, bad aeration or any other cause of force majeure.
  • If the model or serial number on the product has been changed.
  • Those products already repaired by technical services not recognised by Distform S.L.U. for possible defects.

Labor fees shall be at the Customer’s expense. The warranty shall cover materials, but compensation shall not be offered under any circumstances.

Replacement materials shall be transported at the Customer’s expense and risk.

 

9. Intellectual property

In accordance with current legislation on intellectual and industrial property, this catalogue and any element, brand, drawing, model, logo, graphic, etc. found in this catalogue are the exclusive property of Distform S.L.U. or its collaborators, who do not grant any licence or right other than the right to consult the catalogue. The reproduction or use of all or part of these elements authorises only to be informed in a personal and private manner. Any reproduction or use of copies made for other purposes is expressly prohibited. Any improper use constitutes fraud and may be prosecuted in accordance with the legislation in force, except in cases of prior written authorisation from Distform S.L.U.

Distform S.L.U. shall not be held responsible in the event of error or omission in any of the photographs, prices, texts or images, information or characteristics of the products, nor in the event of modification of the characteristics of the products by the suppliers.

 

10. Legal proceedings and responsibilities

Distform S.L.U. shall not be held responsible for the non-execution of the present conditions in the event of force majeure and in the event of the Client’s fault or an unforeseeable event on the part of a person outside the contract.

Distform S.L.U. is not responsible for any consequences that may result from the improper use of the products sold. Any dispute that may arise will be submitted to the consumer arbitration system (Consumer Arbitration Board / Advertising Jury). In the event that the arbitration decision is not accepted, the dispute will be submitted to the Courts and Tribunals of Lleida, Spain.
